mindAIlign Code Forge mindAIlign Code Forge Terms of Service Last updated: May 2nd, 2026 These Terms of Service (the “Terms”) govern access to and use of mindAIlign Code Forge (“Code Forge,” the “Service,” “we,” “us,” or “our”). Code Forge is operated by mindAIlign and/or the applicable mindAIlign entity identified in an Order Form, statement of work, invoice, or customer agreement. By accessing or using Code Forge, creating an account, participating in a pilot, submitting information, or executing an Order Form, you agree to these Terms. If you are using Code Forge on behalf of a company or other organization, you represent that you have authority to bind that organization. Service Description Code Forge is a governed AI-assisted software creation system designed to support structured software planning, intent translation, architecture discipline, build sequencing, validation gates, repair loops, documentation, and deployment-readiness workflows. Code Forge is not: a generic coding assistant; a no-code or app-builder platform; a vibe-coding product; a prompt library; a software development agency; a guarantee of production-ready, secure, compliant, or error-free software; or a substitute for professional engineering, cybersecurity, legal, compliance, or deployment review. Code Forge may use third-party model providers, coding tools, APIs, repositories, hosting systems, deployment tools, analytics systems, payment processors, and other technical services to deliver the Service. Account Access and Eligibility You must provide accurate account, billing, business, and technical information when using Code Forge. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Code Forge is intended for business and professional use. We may refuse, suspend, or terminate access if we believe use of the Service creates legal, operational, financial, security, reputational, or technical risk. Order Forms, Pilots, and Deployment Terms Certain Code Forge deployments may be governed by an Order Form, statement of work, pilot agreement, invoice, or deployment addendum. Those documents may specify pricing, term length, included Governed Runtime Capacity, scope, deliverables, pilot objectives, overage thresholds, support levels, and other commercial terms. If there is a conflict between these Terms and a signed Order Form or pilot agreement, the signed Order Form or pilot agreement controls only for the conflicting matter and only for that deployment. Governed Runtime Capacity and Usage Limits Code Forge deployments may include a defined amount of Governed Runtime Capacity. Governed Runtime Capacity powers model/API usage, reasoning, validation, repair, orchestration, execution workflows, documentation, and related runtime activity within the agreed scope. Code Forge does not include unlimited model/API usage unless expressly stated in a signed agreement. Usage may be metered, capped, paused, throttled, or subject to overage charges as described in the applicable Order Form and the Usage and Runtime Capacity Policy. We may pause or stop workflows that appear to involve runaway execution, recursive repair failure, excessive context expansion, repeated failed loops, scope expansion, abusive usage, or unreasonable economic expenditure. Customer Responsibilities You are responsible for: providing accurate product requirements, business logic, technical context, and constraints; reviewing, testing, validating, and approving all generated code, plans, documentation, and artifacts before use; maintaining backups of repositories, files, databases, and deployment environments; protecting API keys, credentials, tokens, secrets, and sensitive data; ensuring you have rights to any content, code, data, files, or repositories you provide; complying with applicable laws, regulations, contracts, licenses, open-source obligations, and security standards; making final deployment, production, legal, compliance, and business decisions; and ensuring that Code Forge is not used for prohibited or harmful purposes. You acknowledge that Code Forge may produce outputs that are incomplete, inaccurate, insecure, non-compliant, infringing, unsuitable, or otherwise defective. You must not rely on any output without independent review. AI-Generated Output and Human Review Code Forge may generate, suggest, transform, analyze, review, or document software-related artifacts, including code, architecture notes, implementation plans, tests, workflows, prompts, specifications, deployment notes, and validation summaries (“Outputs”). Outputs are generated using probabilistic systems and may contain errors, omissions, vulnerabilities, licensing issues, hallucinated assumptions, insecure patterns, or logic defects. Code Forge’s validation and governance features are risk-reduction tools, not guarantees. You are solely responsible for final human review, testing, security assessment, legal review, open-source license review, production deployment, and operational use of Outputs. No Production-Readiness, Security, or Compliance Guarantee Unless expressly stated in a signed agreement, Code Forge does not warrant that any Output is production-ready, secure, compliant, bug-free, error-free, performant, scalable, fit for a particular purpose, or suitable for deployment. Any deployment-readiness materials, audit logs, validation notes, test plans, or documentation provided by Code Forge are informational and do not replace formal technical due diligence, cybersecurity review, penetration testing, legal compliance analysis, or professional engineering review. Customer Content and Repository Access “Customer Content” means code, repositories, files, documents, prompts, product requirements, business logic, data, credentials, user materials, feedback, and other information you provide to or authorize Code Forge to access. You retain ownership of Customer Content. You grant mindAIlign the limited rights necessary to host, process, analyze, transform, transmit, display, and use Customer Content to provide, secure, improve, support, and administer the Service, subject to the applicable agreement and privacy terms. You must not submit passwords, API keys, private keys, authentication tokens, banking information, regulated personal data, or other sensitive information except through approved secure channels and only when necessary for the agreed scope. When you authorize repository or environment access, you are responsible for using least-privilege permissions, maintaining backups, controlling credentials, and revoking access when no longer needed. Ownership of Outputs and Artifacts Subject to your compliance with these Terms, applicable payment obligations, third-party rights, open-source license obligations, and any signed agreement, mindAIlign does not claim ownership of customer-specific software artifacts delivered to you as Outputs. You are responsible for determining whether Outputs are protectable, whether human authorship or modification is required, and whether Outputs are subject to third-party, model-provider, or open-source restrictions. mindAIlign and Code Forge Intellectual Property mindAIlign owns and retains all rights, title, and interest in and to Code Forge and all related technology, architecture, methods, systems, documentation, templates, workflows, trade secrets, know-how, and intellectual property, including without limitation: the Code Forge runtime architecture; Behavioral Operating System or cognitive-control-layer logic; cognitive intake methods and operator-alignment methods; Cognitive Systems Profile construction methods; intent-compilation methods; prompt chains, orchestration logic, validation logic, repair-loop logic, and execution sequences; internal policies, playbooks, templates, frameworks, and workflow structures; system designs, schemas, decision records, build-governance methods, and audit structures; and all improvements, modifications, derivative works, and know-how related to the Service. Your use of Code Forge does not grant ownership of, or any license to reproduce, disclose, reverse-engineer, resell, sublicense, copy, train on, or build a competing system from, the underlying Code Forge methods or runtime architecture. Feedback If you provide feedback, suggestions, ideas, requests, corrections, or recommendations regarding Code Forge, you grant mindAIlign a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that we do not publicly disclose your confidential information except as permitted by agreement. Confidentiality If confidential information is exchanged, each party agrees to use reasonable care to protect the other party’s confidential information and to use it only for purposes of the relationship. Confidential information does not include information that is public, independently developed, rightfully obtained without restriction, or approved for disclosure. For pilots, enterprise deployments, repository access, or sensitive technical review, a separate confidentiality agreement, NDA, MSA, or data processing agreement may be required. Third-Party Services and Model Providers Code Forge may rely on third-party model providers, cloud providers, coding tools, APIs, repositories, deployment platforms, payment processors, observability tools, and other services. We do not control third-party services and are not responsible for third-party outages, changes, pricing changes, model behavior, data practices, or service limitations. We may change, substitute, route, limit, or discontinue use of specific third-party providers to preserve quality, cost efficiency, availability, safety, security, or service integrity. Prohibited Uses You may not use Code Forge to: create, improve, deploy, or facilitate malware, ransomware, credential theft, phishing, botnets, exploit kits, or unauthorized access tools; attack, scan, scrape, monitor, or access systems without authorization; evade security controls, authentication, licensing, usage limits, or safety mechanisms; build surveillance, tracking, or profiling systems that violate law or rights; infringe or misappropriate intellectual property, confidential information, trade secrets, or personal data; violate export controls, sanctions, privacy laws, cybersecurity laws, or other applicable law; process regulated sensitive data without appropriate authorization and safeguards; reverse-engineer, extract, copy, or reproduce Code Forge’s runtime architecture, prompts, orchestration logic, or methods; use Code Forge to train, benchmark, evaluate, or build a competing AI software creation or governance system without written permission; or engage in any activity that creates legal, operational, security, economic, reputational, or technical risk to mindAIlign, customers, or third parties. Suspension and Termination We may suspend or terminate access to Code Forge if you violate these Terms, fail to pay amounts due, exceed usage limits without approval, create security or operational risk, misuse the Service, infringe rights, submit unsafe content, attempt to reverse-engineer the Service, or use Code Forge in a way that may cause harm. Upon termination, your right to access Code Forge ends. Certain provisions, including ownership, confidentiality, payment, limitations of liability, disclaimers, indemnity, and restrictions on reverse engineering, survive termination. Fees, Payment, and Taxes Fees may include setup fees, monthly governed runtime fees, pilot fees, usage charges, overages, third-party pass-through costs, implementation fees, support fees, and other amounts specified in an Order Form or invoice. Fees are non-refundable except as expressly stated in a signed agreement. You are responsible for taxes, duties, charges, and payment processor fees unless otherwise stated. We may suspend access for unpaid fees. Changes to Service, Pricing, and Terms We may modify Code Forge, service features, model providers, usage policies, pricing structures, overage rates, or these Terms from time to time. Material changes will be communicated as required by applicable law or agreement. Continued use after changes take effect constitutes acceptance. Disclaimers To the maximum extent permitted by law, Code Forge is provided on an “as is” and “as available” basis. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and error-free operation. We do not warrant that Code Forge will meet your requirements, produce desired outcomes, prevent all defects, identify all risks, eliminate technical debt, or generate production-ready software. Limitation of Liability To the maximum extent permitted by law, mindAIlign will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, business interruption, loss of goodwill, cost of substitute services, or damages arising from deployment or use of Outputs. To the maximum extent permitted by law, mindAIlign’s aggregate liability for claims arising out of or relating to Code Forge will not exceed the amounts paid by you to mindAIlign for the applicable Code Forge deployment during the six months before the event giving rise to the claim, or another amount stated in a signed agreement. Indemnity You agree to indemnify and hold harmless mindAIlign from claims, damages, losses, liabilities, costs, and expenses arising from your Customer Content, use of Outputs, deployment decisions, violation of law, violation of these Terms, misuse of Code Forge, infringement of third-party rights, or failure to review, test, secure, or validate software. Governing Law and Disputes These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles. The parties agree that any dispute arising out of or relating to these Terms, Code Forge, or any related deployment will be brought exclusively in the state or federal courts located in Clark County, Nevada, and each party consents to personal jurisdiction and venue in those courts. Document 2: Usage and Runtime Capacity Policy This policy forms part of the mindAIlign Code Forge Terms of Service and applies to all Code Forge deployments unless superseded by a signed Order Form. Purpose Code Forge operates through governed reasoning, validation, repair, orchestration, and execution workflows that may use third-party model/API services. This policy explains how usage is measured, capped, approved, and billed to prevent uncontrolled model/API costs and protect both customer budget discipline and service sustainability. Governed Runtime Capacity Governed Runtime Capacity is the included runtime allowance provided with a Code Forge deployment. It may be consumed by model/API calls, reasoning steps, context ingestion, validation passes, repair loops, documentation generation, orchestration, code-analysis workflows, and related runtime operations. Governed Runtime Capacity is not a promise of a fixed number of outputs, completed features, lines of code, prompts, tasks, or artifacts. Consumption depends on project complexity, model selection, context volume, number of validation cycles, error conditions, and customer-requested scope. Included Capacity Each Order Form, plan, pilot, or deployment may specify included Governed Runtime Capacity. Unused capacity does not roll over unless expressly stated in writing. Included capacity cannot be exchanged for cash or applied to unrelated services unless agreed in writing. Soft Caps and Usage Alerts Code Forge may issue usage alerts when consumption reaches a designated threshold, commonly 70–80% of included capacity. Alerts are informational and may not always be real-time. Customers remain responsible for monitoring use and requesting additional capacity where needed. Hard Caps and Pause Rights When a deployment reaches the applicable hard cap, Code Forge may pause, throttle, or stop workflows until additional capacity is approved, prepaid, or added through an Order Form. Code Forge may also pause jobs before a hard cap if a workflow appears to involve runaway execution, recursive repair failure, failed-loop behavior, excessive context expansion, abusive use, or unreasonable economic expenditure. Overage Billing Usage beyond included capacity may be billed at actual third-party model/API cost plus a 35% governance, infrastructure, metering, support, and risk-management margin, unless a different margin is specified in the applicable Order Form. Third-Party Provider Pricing Model/API costs are variable third-party costs. If a third-party provider changes pricing, availability, rate limits, model behavior, or terms, Code Forge may adjust usage calculations, overage rates, model selection, routing, or availability to preserve service quality, cost efficiency, and operational safety. Model and Provider Substitution Code Forge may use different model providers or tools for different runtime layers, tasks, or deployments. Code Forge may substitute providers or models without prior notice where needed for availability, performance, cost control, safety, security, or quality, unless a signed agreement requires otherwise. High-Cost Execution Approval Certain workflows may require approval before execution, including large codebase ingestion, major rebuilds, repeated repair loops, high-volume documentation generation, multi-agent execution, extended validation passes, or additional scope beyond the agreed deployment. Usage Reports Where available, Code Forge may provide runtime usage reporting showing: runtime capacity used by deployment or project; usage by build phase; usage by validation pass or repair loop; high-cost events; failed-loop or context-bloat indicators; overage warnings; model/provider usage; and forecasted usage risk for the next period. No Unlimited Usage No Code Forge deployment includes unlimited model/API usage, unlimited runtime capacity, unlimited code generation, unlimited repair loops, or unlimited build support unless expressly stated in a signed enterprise agreement. Fair-use language, marketing statements, or general access to the Service do not override the stated capacity limits. Document 3: Acceptable Use Policy This Acceptable Use Policy applies to all use of mindAIlign Code Forge. General Standard Code Forge is for lawful, authorized, professional software creation and governed build workflows. You may not use Code Forge in a way that harms, exploits, deceives, compromises, disrupts, infringes, abuses, or creates unreasonable risk to any person, system, organization, or third party. Prohibited Technical Uses malware, ransomware, worms, botnets, credential stealers, phishing kits, exploit kits, or evasion tools; unauthorized vulnerability exploitation, privilege escalation, persistence, lateral movement, or destructive payloads; unauthorized scanning, scraping, monitoring, exfiltration, or access to systems or data; circumvention of access controls, rate limits, licensing systems, paywalls, authentication, usage caps, or security tools; credential harvesting, token theft, session hijacking, password attacks, or unauthorized account access; tools intended to facilitate fraud, impersonation, theft, deception, spam, or illegal automation; systems designed to bypass AI safety, monitoring, or governance mechanisms; or any code or workflow that would violate applicable law, contracts, licenses, or rights. Restricted High-Risk Uses Unless expressly approved in a signed agreement with appropriate safeguards, Code Forge may not be used for software controlling or materially affecting critical infrastructure, weapons, emergency services, medical devices, clinical diagnosis, aviation, life-support systems, autonomous physical systems, law enforcement targeting, or other high-risk domains where failure may cause death, bodily harm, severe financial loss, rights deprivation, or significant public harm. Data and Privacy Restrictions Do not submit regulated personal data, protected health information, cardholder data, banking credentials, government identifiers, or sensitive personal information unless expressly approved and protected through appropriate channels. Do not submit third-party confidential information unless you have authority to do so. Do not use Code Forge to unlawfully profile, surveil, discriminate against, or make consequential decisions about individuals. IP and Competitive Restrictions Do not reverse engineer, copy, scrape, reproduce, benchmark, or attempt to extract Code Forge’s runtime architecture, prompts, orchestration logic, BOS/CCL methods, cognitive intake methods, validation logic, or trade secrets. Do not use Code Forge outputs, traces, logs, interaction patterns, or internal structures to train, fine-tune, benchmark, evaluate, or build a competing AI software creation or governance product. Do not resell, sublicense, white-label, rent, or provide Code Forge access to third parties unless expressly authorized. Enforcement We may suspend, throttle, restrict, or terminate access if we believe use violates this policy or creates legal, technical, safety, security, economic, reputational, or operational risk.
